01. Acceptance of Terms

By registering, listing, or offering services on GetYourDiscount.in (“Platform”), operated by S-Smart Solutions (“Company”, “We”, “Us”), you (“Vendor”, “Service Provider”) agree to be legally bound by these Vendor Terms of Service (“Agreement”).

If you are acting on behalf of a business entity, you confirm that you have the authority to bind such entity to this Agreement.

02. Nature of the Platform
  • GetYourDiscount.in is a hyper-local service discovery and lead generation platform.
  • The Platform connects users with Vendors and facilitates discount discovery and lead sharing.
  • The Company does not provide, own, control, or guarantee any services listed by Vendors.
  • Vendors act as independent contractors, not employees, agents, or partners of the Company.
03. Vendor Registration & Listing Obligations

The Vendor agrees to:

  • Provide accurate, complete, and up-to-date information including business details, pricing, and contact information.
  • Maintain valid licenses, permits, and registrations as required under applicable Indian laws.
  • Ensure that all services comply with legal, safety, and regulatory standards.
  • Update listing details promptly in case of any changes.
04. Discounts, Offers & Commitments
  • Vendors must honor all discount codes and offers (e.g., GyD-Service-XXXXX) generated through the Platform, subject to clearly stated conditions.
  • Vendors must clearly define:
    • Offer validity period
    • Eligibility conditions
    • Limitations (if any)
  • Failure to honor valid offers may result in:
    • Listing suspension
    • Removal from Platform
    • Permanent ban
05. Leads & Customer Interaction
  • Vendors may receive customer leads via WhatsApp or other channels, including user contact details and Lead IDs.
  • Vendors agree to:
    • Use such data only for service fulfillment purposes
    • Not misuse, sell, or distribute user data
    • Avoid spam, harassment, or unsolicited promotions
06. Fees, Charges & Monetization
  • The Platform may currently offer free or paid listings.
  • The Company reserves the right to introduce:
    • Subscription fees
    • Commission on leads or transactions
    • Featured or premium listings

Vendors agree to pay all applicable fees as communicated. Non-payment may result in suspension or termination.

07. Vendor Conduct & Prohibited Activities

Vendors shall NOT:

  • Provide false, misleading, or deceptive information
  • Engage in fraudulent or illegal activities
  • Offer services prohibited by law
  • Harass, abuse, or mislead users
  • Misuse Platform-generated leads
  • Circumvent Platform policies or systems
08. Customer Disputes, Refunds & Cancellations
  • All transactions, payments, cancellations, and refunds are strictly between Vendor and User.
  • The Platform is not responsible for:
    • Payment disputes
    • Service dissatisfaction
    • Refund claims

Vendors must clearly define and communicate their own:

  • Cancellation policy
  • Refund policy
09. Data Protection & Privacy
  • Vendors must comply with applicable data protection laws in India, including the Digital Personal Data Protection Act (DPDP).
  • Vendors shall:
    • Use customer data only for intended purposes
    • Not retain data unnecessarily
    • Implement reasonable security measures
10. Intellectual Property Rights
  • Vendors grant the Company a non-exclusive, royalty-free license to use their:
    • Business name
    • Logo
    • Images
    • Content
    for promotional, marketing, and platform purposes.
  • The Company retains all rights to:
    • Platform design
    • Technology
    • Branding
11. Area Exclusivity & Platform Rights
  • The Platform may implement area-based or category-based exclusivity.
  • The Company reserves the right to:
    • Limit the number of vendors per location/category
    • Assign or revoke exclusive rights
    • Modify listing visibility
12. Suspension & Termination

The Company may suspend or terminate Vendor access:

  • For breach of this Agreement
  • Repeated customer complaints
  • Failure to honor offers
  • Legal or regulatory violations

Actions may include:

  • Temporary suspension
  • Permanent removal
  • Blocking of leads

Termination may occur without prior notice in serious cases.

13. Disclaimer of Warranties

The Platform is provided on an “as-is” and “as-available” basis.

The Company does NOT guarantee:

  • Number or quality of leads
  • Conversion rates
  • Business outcomes
14. Limitation of Liability

To the maximum extent permitted by law:

  • The Company shall NOT be liable for:
    • Indirect or consequential losses
    • Loss of business, revenue, or reputation
    • Service-related damages
  • Total liability (if any) shall be limited to:
    • Fees paid by the Vendor to the Platform (if applicable)
15. Indemnification

The Vendor agrees to indemnify and hold harmless the Company against any claims, damages, or legal costs arising from:

  • Vendor services
  • Customer disputes
  • Violation of laws
  • Breach of this Agreement
16. Force Majeure

The Company shall not be liable for failure or delay due to events beyond its control, including:

  • Natural disasters
  • Internet or system failures
  • Government actions
17. Changes to Terms

The Company reserves the right to update these Terms at any time.

Continued use of the Platform after changes constitutes acceptance of revised Terms.

18. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka.
